1. Agreement to Terms
By accessing or using Halo AI Services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
Halo AI Services provides AI automation solutions, intelligent agent systems, and business process automation services for businesses, primarily operating on the Isle of Man. Our services include but are not limited to:
- Custom AI automation development
- AI agent system implementation
- Business process automation consulting
- Workflow optimization and integration
- Ongoing support and maintenance
3. Payment Terms
All services are billed according to the agreed pricing structure. Payment is due upon invoice unless otherwise arranged. We accept payment via Stripe, bank transfer, and other approved payment methods.
For PCI-DSS compliance, all payment processing is handled through secure, PCI-compliant payment gateways. We do not store credit card information on our servers.
4. Intellectual Property
All intellectual property rights in the Service, including but not limited to software, algorithms, documentation, and business processes, remain the property of Halo AI Services or its licensors.
Client data and materials provided to us remain the property of the client. We are granted a limited license to use such materials solely for the purpose of providing the Service.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information received from the other party. Confidential information includes business plans, customer lists, technical data, and trade secrets.
This obligation of confidentiality shall survive termination of these Terms.
6. Data Protection and Privacy
We comply with applicable data protection laws, including the Isle of Man Data Protection Act 2018 and GDPR where applicable. Our Privacy Policy details how we collect, use, and protect your data.
As an AI services provider, we implement appropriate technical and organizational measures to ensure the security of personal data processed through our systems.
7. Limitation of Liability
To the maximum extent permitted by law, Halo AI Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claims under these Terms shall not exceed the amount paid by you to Halo AI Services for the services in the six months preceding the claim.
8. Service Level Agreement
We strive to provide reliable services but do not guarantee uninterrupted or error-free operation. Service availability targets will be specified in individual service agreements.
Scheduled maintenance will be communicated in advance where possible.
9. Termination
Either party may terminate service with 30 days written notice. Upon termination, all outstanding payments become due immediately.
We reserve the right to suspend or terminate service immediately for breach of these Terms, including non-payment or unauthorized use of the Service.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Isle of Man. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Isle of Man.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
